Contract drafting training - a possible agenda
The forthcoming weeks, I will be rolling out my contract drafting training sessions: I aim at experienced contract drafters (i.e., senior legal counsel and attorney's-at-law) but groups of young lawyers will likely be formed as well.

With my online book and this weblog in mind, I selected a few subject matters of topical interest and grouped them into four blocks. The following is the resulting outline in Dutch, since that is the first targeted audience.
Weagree training Contract drafting
Technieken, best practices, do's en dont's
De contract drafting training is bedoeld voor (interim) bedrijfsjuristen en advocaten die beschikken over een (ruime) ervaring met het opstellen van overeenkomsten.
Programma. Het programma behelst zowel Nederlands- als Engelstalig contracten en is opgedeeld in vier blokken van 3 uur; ieder blok staat op zichzelf:
1. De opzet van een overeenkomst:
- Best practice rules voor het opstellen van recitals, definities, conditions, covenants en warranties
- Do's en don'ts bij contractstructuur
- Dispute resolution en miscellaneous clausules (over keuze voor arbitrage of rechtbank, over counterparts-, severability, ‘entire agreement', notices en andere ‘boilerplates')
2. Drafting technieken
(vaardigheden en trucs ter verbetering van leesbaarheid en ter vermijding van dubbelzinnigheden). Onderwerpen:
- Waar in een tekst staat de belangrijkste informatie? (het links-rechtsprincipe)
- Conceptueel schrijven
- Technieken om het kort te houden
- Voorkoming van dubbelzinnigheden door zinsstructuur
- Enkele grammaticale suggesties
3. Legalese en andere missers:
- Typische common-law-verschijnselen en hun impact op overeenkomsten (consideration, remedies, deeds, miscellaneous-clausules, "in witness whereof")
- Het (foute) gebruik van typische contract-formules (bijv. for the avoidance of doubt, deemed to be, without limitation, and/or, en "shall" of "will"?)
- Archaïsche doublets & triplets ("acknowledge and agree", "indemnify and hold harmless", "made and entered into", "right, title and interest", "execute and deliver")
- Richtlijnen voor getallen in contracten (zoals bijv. 30 (thirty))
4. Afronding.
- Contracteren onder buitenlands recht (waar moet je op letten, en waar hoef je niet bang voor te zijn)
- Resterende onderwerpen uit vorige blokken
- Handigheidjes en trucjes in MS Word
Maatwerk. Deelnemers kunnen vooraf eigen contract-voorbeelden aanleveren. Hierop zal de training, afhankelijk van de omvang van de groepen, meer of minder concreet voortbouwen. Ook kunnen deelnemers hun voorkeuren of wensen voor specifieke onderwerpen aandragen.
